S-AMK-0030 V 4.1 Seite 1 von 7 VERHALTENSKODEX - GRUNDSÄTZE SOZIALER VERANTWORTUNG CODE OF CONDUCT - PRINCIPLES OF SOCIAL RESPONSIBILITY Als global agierendes Unternehmen ist uns die Verantwortung gegenüber unseren Mitarbeiterinnen und Mitarbeitern, Geschäftspartnern und der Gesellschaft bewusst und von großer Bedeutung. Dieser Verhaltenskodex definiert die Mindestanforderungen hinsichtlich Ethik, sozialer Verantwortung, Sicherheit und umweltbewusstem Verhalten unter Berücksichtigung gesetzlicher Vorgaben im Unternehmen. Das Management, insbesondere Führungskräfte, verpflichten sich, im täglichen Geschäft verantwortungsbewusst und rechtmäßig zu handeln. Ebenso sind sämtliche Mitarbeiterinnen und Mitarbeiter zur Umsetzung und Einhaltung aufgefordert und werden hierzu in regelmäßig geplanten Schulungen unterwiesen. Compliance ist ein integraler Bestandteil unserer Unternehmenskultur. Verstöße werden entsprechend, aber fair behandelt. Neben den nationalen und internationalen Vorschriften orientiert sich unser tägliches Handeln an den Vorgaben des UN Global Compact, der Internationalen Arbeitsorganisation (IAO/ILO) sowie an den Inhalten aus den Lieferkettensorgfaltspflichten. Von unseren Lieferanten fordern wir ebenfalls diese Vorgaben einzuhalten und auch von Ihren Zulieferern entlang der Lieferkette einzufordern. Diese Vorgehensweise soll helfen, Compliance Verfehlungen frühzeitig zu erkennen und abzustellen und die Nachhaltigkeit entlang der Lieferkette kontinuierlich zu verbessern. As a company active on a global scale, we are aware of our responsibility towards our employees, business partners and society and attach great importance to it. This Code of Conduct defines the minimum requirements in terms of ethics, social resposibility, safety and environmentally conscious behavior while taking into account legal requirements within the company. Management, and especially executives, are committed to acting responsibly and lawfully in their daily business activities. All employees are also required to execute and comply with these principles and are instructed on them in regularly scheduled training sessions. Compliance is an integral part of our corporate culture. Violations are dealt with accordingly, but fairly. In addition to national and international regulations, our daily actions are based on the requirements of the UN Global Compact, the International Labour Organization (ILO) and the contents of the supply chain due diligence obligations. We also require our suppliers to comply with these requirements and also demand that their suppliers along the supply chain do the same. Menschenrechte Die Würde des Menschen ist für uns kompromisslos. Daher respektieren und unterstützen wir die Einhaltung sämtlicher geltender Vorschriften und Gesetze zum Schutz der Menschenrechte, einschließlich den Rechten von Minderheiten und indigenen Völkern. Diese Grundanforderung gilt sowohl intern als auch gegenüber externen Geschäftspartnern. 1. Human rights Human dignity is an area where we see no compromise. That is why we respect and support compliance with all applicable provisions and laws for the protection of human rights including the rights of minorities and indigenous peoples. This basic requirement applies internally as well as to external business partners. 2. Die Einhaltung gesetzlicher wie auch behördlicher Vorgaben sowie ethnischer Grundsätze sind dabei verpflichtend. 5. Prohibition of child / forced labor AMKmotion categorically opposes child or forced labor. All work is done voluntarily. Compliance with legal and official requirements as well as ethnical principles is obligatory. 6. Beziehungen zu Arbeitnehmervertretungen Das Grundrecht aller Mitarbeiterinnen und Mitarbeiter, Gewerkschaften zu bilden und ihnen in eigener und freier Entscheidung beizutreten, wird anerkannt. Sie werden wegen ihrer Mitgliedschaft in Gewerkschaften oder Arbeitnehmervertretungen weder bevorzugt noch benachteiligt. 6. Relation with employee representative bodies The basic right of all employees to form trade unions and to join them of their own free will is recognized. Faire Arbeitsbedingungen Die Entgelt- und Sozialleistungen entsprechen mindestens den nationalen oder lokalen gesetzlichen Standards, Bestimmungen oder entsprechenden Vereinbarungen. Ebenso werden gesetzliche Vorgaben zu Arbeits- und Ruhezeiten eingehalten und entsprechen branchenüblichen Standards. 7. Fair working conditions At the minimum, remuneration and social benefits comply with national or local legal standards, regulations or corresponding agreements. Legal requirements regarding working hours and break periods are also complied with and correspond to industry standards. 8. Arbeitssicherheit und Gesundheitsschutz Die Gesundheit und Sicherheit der Beschäftigten von AMKmotion ist ein ebenso wichtiges Ziel wie auch die Qualität unserer Produkte als Grundlage unseres wirtschaftlichen Erfolgs. Im Bereich Arbeitssicherheit und Gesundheitsschutz erfüllt AMKmotion alle gesetzlichen und technischen Anforderungen, die der körperlichen Unversehrtheit dienen. Dazu gehört auch ein verantwortliches Chemikalienmanagement für gefährliche Stoffe für Mensch und Umwelt. 8. Protection of occupational health and safety Protecting the health and safety of AMKmotion employees is just as important a goal as the quality of our products as the foundation of our economic success. When it comes to the protection of occupational health and safety, AMKmotion fulfills all legal and technical requirements that serve physical integrity. This also includes responsible chemical management for substances that are dangerous to humans and the environment. 9. Umweltschutz und Energie Für AMKmotion sind der Umwelt- und Klimaschutz sowie die Energie- und Ressourceneffizienz zentrale Ziele. Wir alle tragen Verantwortung für die Erhaltung der natürlichen Ressourcen und den Schutz der Umwelt. In unserer täglichen Arbeit achten wir darauf, dass alle Auswirkungen auf Umwelt und Klima auf ein Minimum reduziert werden und die gesetzlichen Anforderungen erfüllt werden. Den Einsatz regenerativer Energien und umweltschonender Produktionsverfahren unterstützen wir. Vorschriften zu Land, Wald- und Wasserrechten, Waldabholzung, Luftqualität, Bodenqualität, Lärmemission sowie der Wasserqualität, -verbrauch und -wirtschaft sind obligatorisch. Unrechtmäßige Zwangsräumungen sowie Landraub werden von uns nicht toleriert. Mit Ressourcen ist sparsam umzugehen, Abfälle sollen vermieden werden und wo immer möglich, Material wiederverwertet oder recycelt werden. Wir sind nach EN ISO 14001 Umweltmanagementsysteme zertifiziert. Die Bilanzierung und Reduktion von Treibhausgasen (z. B. CO2-Emissionen) sowie das Thema Dekarbonisierung sind aktuelle Aufgaben, denen wir uns stellen. Zum Umweltschutz gehört für uns selbstverständlich auch der Tierschutz sowie die Artenvielfalt zu erhalten. 9. Environmental protection and energy Environmental and climate protection as well as energy- and resource efficiency are key objectives for AMKmotion. We all have a responsibility to conserve natural resources and protect the environment. In our daily operations, we make sure that all environmental and climate impacts are minimized and that legal requirements are fulfilled. We support the use of renewable energies and environmentally friendly production processes. Regulations on land, forest and water rights, deforestation, air quality, soil quality, noise emissions and water quality, consumption and management are mandatory. We do not tolerate unlawful evictions or land theft. Resources must be used sparingly, waste should be avoided and, wherever possible, materials should be reused or recycled. We are certified according to EN ISO 14001 environmental management systems. The accounting and reduction of greenhouse gases (e.g. CO2 emissions) and the issue of decarbonization are current tasks that we are facing. For us, environmental protection naturally also includes animal welfare and preserving biodiversity. 10. Geldwäsche Wir halten die nationalen und internationalen Regelungen zur Verhinderung von Geldwäsche ein. Es werden alle erforderlichen Maßnahmen ergriffen, um Geldwäsche im Einflussbereich von AMKmotion zu verhindern. Es werden nur Geschäfte mit seriösen Geschäftspartnern abgewickelt, die in rechtmäßige Geschäftsaktivitäten involviert sind. Mitarbeiterinnen und Mitarbeiter, die einen Geldwäscheverdacht begründen, insbesondere im Zusammenhang mit Bargeldtransaktionen, sind angehalten, diesen Verdacht ihrer Vorgesetzen bzw. ihrem Vorgesetzten sowie dem Geschäftsführer, oder dem Betriebsrat zu melden. 11. Money laundering We comply with national and international regulations for the prevention of money laundering. All required measures are taken to prevent money laundering in the sphere of influence of AMKmotion. Business is only done with reputable business partners who are involved in legitimate business activities. Employees who suspect that money laundering is taking place, particularly in connection with cash transactions, are required to report this suspicion to their supervisor, the managing director or the works council 12. Finanzielle Verantwortung Über unsere Geschäftstätigkeiten führen wir zuverlässig rechtmäßige genaue finanzielle Aufzeichnungen und Bücher und sind uns unserer finanziellen Verantwortung bewusst, das Betrugsrisiko bestmöglich zu verringern. Geschäftspartnern gegenüber werden stets relevante Informationen offengelegt 12. Financial responsibility We maintain reliable, lawful and accurate financial records and books of our business activities and are aware of our financial responsibility to reduce the risk of fraud as best as possible. Relevant information is always disclosed to business partners. 13. Fairer Wettbewerb (Wirtschaftsethik) Fairer und freier Wettbewerb wird durch mehrere Gesetze geschützt. Dadurch wird sichergestellt, dass der Wettbewerb nicht verzerrt wird. Alle Vereinbarungen oder ähnlichen Maßnahmen zwischen Wettbewerbern, die darauf abzielen, den Markt zu beeinflussen, um einen Vorteil zu erlangen, sind verboten. Gleiches gilt für die Ausübung einer marktbeherrschenden Stellung. Die Verletzung des Wettbewerbsrechts kann zu hohen Bußgeldern und Strafen führen und das Image von AMKmotion auf dem Markt schädigen. AMKmotion schließt daher keine wettbewerbswidrigen Vereinbarungen mit Wettbewerbern, Lieferanten oder Kunden ab. AMKmotion wird seine Marktposition nicht dazu nutzen, den Markt illegal zu beeinflussen oder gegen die Kartellrechte zu verstoßen. Wir leben faire Wirtschaftspraktiken und -ethik, respektieren geistiges Eigentum und sprechen uns gegen Plagiatsvergehen aus. Im Außenhandel beachten wir selbstverständlich Ausfuhrkontrollen, Verbote und Beschränkungen sowie geltende Sanktionen beim Export unserer Produkte. Interessenskonflikte bei Geschäftstätigkeiten müssen vermieden werden und ggfls. dem Vorgesetzten gemeldet werden, der sich für eine Lösung einsetzen wird. 13. Fair competition (business ethics) Free and fair competition is protected by several laws. This ensures that competition is not distorted. All agreements or similar measures between competitors with the aim of influencing the market in order to gain an advantage are prohibited. The same applies to the exercise of a dominant position in the market. Violations of competition law can lead to high fines and penalties and damage the image of AMKmotion on the market. That is why AMKmotion does not enter into anti-competitive agreements with competitors, suppliers or customers. AMKmotion will not use its market position to illegally influence the market or violate antitrust laws. We practice fair business practices and ethics, respect intellectual property and speak out against plagiarism. In foreign trade, we naturally observe export controls, bans and restrictions as well as applicable sanctions when exporting our products. Dies wird durch ein hohes Maß an Qualifikation, Qualitätsbewusstsein und Engagement erreicht. Die individuelle Förderung aller Mitarbeitenden ist für uns essenziell. Daher erfolgt eine regelmäßige Qualifizierungsbeurteilung und ggfls. Schulungs- / Weiterbildungsmaßnahmen. 14. Quality and qualification The best possible product quality, product safety and product conformity and the associated customer satisfaction are the top priority of AMKmotion. This is achieved through a high level of qualification, quality awareness and commitment. Individualized support for all employees is essential for us. That is why a regular qualification assessment and, if applicable, training / continuing education are carried out. 15. Datenschutz und Informationssicherheit Die Wahrung des Schutzes personenbezogener Daten bei der Verarbeitung wird durch Umsetzung und Einhaltung der Europäischen Datenschutz-Grundverordnung (DSGVO) sichergestellt. Dies gilt für personenbezogene Daten von Mitarbeiterinnen und Mitarbeitern, Kunden, Lieferanten und anderen betroffenen Personen. AMKmotion erhebt, sammelt, verarbeitet, nutzt und speichert personenbezogene Daten nur, soweit dies im Rahmen der gesetzlichen Bestimmungen oder im Rahmen des laufenden Geschäftsbetriebs von AMKmotion erforderlich ist. 15. Data protection and information security The protection of personal data during processing is ensured by the application of and compliance with the European General Data Protection Regulation (GDPR). This applies to personal data of employees, customers, suppliers and other data subjects. AMKmotion collects, processes, uses and stores personal data only to the extent required by legal regulations or in the ordinary course of business of AMKmotion 16. Schutz von Know-how, Patenten, Geschäfts- und Betriebsgeheimnissen Know-how, vertrauliche Geschäftsinformationen und Patente sind die wichtigsten Vermögenswerte des AMKmotion- Geschäfts. Die unbefugte Weitergabe dieser Kenntnisse kann zu extrem hohen Verlusten für AMKmotion und darüber hinaus zu zivil- und strafrechtlichen Sanktionen führen. Den Beschäftigten von AMKmotion ist es nicht gestattet, ohne Genehmigung vertrauliche Informationen wie technische Daten, Finanzdaten, Geschäftsdaten, Kundeninformationen oder andere Informationen im Zusammenhang mit dem Geschäft von AMKmotion an Dritte weiterzugeben. 16. Protection of knowledge, patents, business and trade secrets Knowledge, confidential business information and patents are the most important assets of the business of AMKmotion. Unauthorized disclosure of this knowledge can lead to extremely significant losses for AMKmotion and can also lead to civil and criminal sanctions. Without authorization, employees of AMKmotion are not permitted to disclose confidential information such as technical data, financial data, business data, customer information or other information relating to the business of AMKmotion to third parties. 17. Meldung von Verstößen und Sanktionen Die Mitarbeiterinnen und Mitarbeiter von AMKmotion haben die Möglichkeit über frei zugängliche Meldeboxen anonym Beschwerden einzureichen. Diese Einreichungen werden hinsichtlich möglicher Verletzungen der vorstehenden Grundsätze anhand eines Beschwerdemanagements bewertet und entsprechend nachgegangen; erforderliche Maßnahmen werden zwischen den zuständigen Leitungen und Arbeitnehmervertretungen beraten und umgesetzt. Das Beschwerdeverfahren kann genutzt werden bei Verstößen gegen den hier vorliegenden Verhaltenskodex, festgestellten Compliance-Verstößen und Whistleblowing-Vorfällen. Der Schutz des Meldenden vor Vergeltung gemäß dem Hinweisgeberschutzgesetz ist sichergestellt. 17. Report of violations and sanctions The employees of AMKmotion can submit complaints anonymously using freely accessible reporting boxes. These submissions are assessed with regard to possible violations of the above principles using a complaints management system and follow-up activities are performed accordingly; necessary measures are discussed and applied by the responsible management and employee representative bodies. The complaints procedure can be used in the event of violations of this Code of Conduct, identified compliance violations and whistleblowing incidents. Nachhaltigkeitsanforderungen an Lieferketten Wir bekennen uns zu den Themen in diesem Verhaltenskodex und bestätigen dies auch unseren Kunden. Die Einhaltung kann aber nur dann sichergestellt werden, wenn auch unsere Lieferanten sich zu diesem Verhaltenskodex bekennen, ihn einhalten und wiederum an ihre Zulieferer weitergeben. Zusätzlich verlangen wir von unseren Lieferanten die Abkommen zur Verwendung von gefährlichen Stoffen für Mensch und Umwelt einzuhalten und uns dies durch beispielsweise REACH und RoHS Konformitätsnachweise mitzuteilen. Darüberhinaus verlangen wir, dass die nationalen und internationalen Vorgaben zur Beschaffung von kritischen Materialien, Mineralien und Metallen eingehalten werden und uns im Idealfall ein Nachweis über die Herkunft der Rohmaterialien und deren Weiterverarbeitung bereitgestellt wird. Mit diesem Vorgehen wollen wir sicherstellen, dass weder direkt noch indirekt bewaffnete Konflikte oder Menschenrechtsverletzungen unterstützt werden. Neben der Konfliktmineralienverordnung die die Rohstoffe Zinn, Tantal, Gold und Wolfram regelt, betrifft das auch die Beschaffung von Stoffen wie Aluminium, Chrom, Graphit, Kobalt, Kupfer, Leder, Lithium, Mangan, Mica, Naturkautschuk, Nickel, Platin-Gruppen-Metalle, Seltene Erden, Stahl/Eisen, Zink… Auch für diese Materialen müssen wir uns unserer sozialen Verantwortung in der Lieferkette bewusstwerden und für Transparenz und die Einhaltung von Standards einstehen. Alle Lieferkettenteilnehmer zusammen tragen die Verantwortung für die Themen • Menschenrechte • Schutz vor Kinderarbeit • Koalitionsfreiheit • Recht auf faire Löhne • Schutz der Umwelt und sind dazu angehalten bzw. verpflichtet ihren Sorgfaltspflichten nachzukommen. Wir bevorzugen Lieferanten, die in Ihren Lieferketten mit Materiallieferanten arbeiten, die sich dem RMI-Standard (Responsible Minerals Initiative) oder einem vergleichbaren Standard verpflichten und die Herkunft der Rohmaterialien und die Verarbeitungsstätten offenlegen, z.B. Schmelzhütten. 18. Sustainability requirements for supply chains We are committed to the topics in this code of conduct and confirm this to our customers. However, compliance can only be ensured if our suppliers also commit to this code of conduct, adhere to it and in turn pass it on to their suppliers. Unsere Sicherheitsmaßnahmen entsprechen dem Stand der Technik. Bei der Entwicklung von AMKmotion-Produkten und -Geschäftsmodellen integrieren wir Cybersicherheits- anforderungen frühzeitig und berücksichtigen sie über den gesamten Lebenszyklus hinweg. 20. Künstliche Intelligenz Künstliche Intelligenz (KI) setzen wir zur kontinuierlichen Verbesserung unserer Produkte verantwortungsvoll ein. Da der Einsatz von KI rechtliche Anforderungen und Risiken mit sich bringt, halten wir dabei alle einschlägigen gesetzlichen Vorgaben sowie interne Regelungen ein – insbesondere zu Datenschutz, Informationssicherheit, Cybersicherheit, geistigem Eigentum und dem Schutz sensibler Informationen. 19. Cybersecurity We comply with all applicable legal requirements in the technical and organizational implementation of cybersecurity and follow relevant standards. When developing AMKmotion products and business models, we integrate cybersecurity requirements at an early stage and consider them throughout the entire lifecycle. 20. Artificial Intelligence We use artificial intelligence (AI) responsibly to continuously improve our products.
